1. About These Terms

These Terms of Service ("Terms") govern your use of ELLA (the "Service"), a retail business management platform ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Who Can Use ELLA

You must be at least 18 years old and legally capable of entering into a binding contract. By registering, you confirm you meet these requirements and are authorized to act on behalf of the business you are registering.

3. Your Account

You are responsible for:

  • Maintaining the confidentiality of your login credentials and PINs
  • All activity that occurs under your account
  • Ensuring the accuracy of information you provide
  • Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Your Data

You own your data. All business data you enter into ELLA remains your property.

By using the Service, you grant us a limited license to store, process, and display your data solely for providing the Service. We do not sell your data or share it with third parties except as described in our Privacy Policy.

5. Acceptable Use

You agree not to:

  • Use ELLA for any unlawful purpose
  • Attempt to reverse-engineer, copy, or resell the Service
  • Interfere with the Service's security or availability
  • Upload malicious code or harmful content
  • Use the Service to store or process illegal data

6. Service Availability

We aim to keep ELLA available at all times, but we do not guarantee uninterrupted service. The Service is provided on an "as is" and "as available" basis.

7. Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

  • Loss of business, revenue, or profits arising from your use of ELLA
  • Decisions you make based on data or reports generated by the Service
  • Indirect, incidental, or consequential damages
  • Loss of data due to circumstances beyond our reasonable control

Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months prior to the claim, or ₦10,000, whichever is greater.

8. Account Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, your data will be deleted within 30 days unless we are legally required to retain it.

9. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Service. Continued use after changes constitutes acceptance.

10. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Nigeria.
